Compensation Committee Charter

WHEREAS POLICY 2210 Committees of the Board of Education states;
The Board and/or the President of the Board may at its discretion establish committees for the purpose of undertaking a specific task in connection with Board activity. These committees, however, cannot make legal decisions for the entire Board. At the request of the Board, the President shall appoint temporary committees consisting of less than a quorum of the full membership for special purposes. These committees shall be discharged on the completion of their assignment. The President of the Board shall be an ex-officio member of such committees.
The Board of Education recognizes that it may be necessary from time to time to authorize advisory committees for the purpose of enlisting opinions and counsel of the general public. Such committees shall be appointed by the Board of Education. The Board has the right to accept, reject or modify all or any part of a committee recommendation.
NOW THEREFOR BE IT RESOLVED by majority vote, the Board of Education Compensation Advisory Committee (“BOECAC”) shall be created.
1) (“BOECAC”) 2025-26 Mission
To render their opinion to the BOE on; whether the BOE members shall receive compensation for performance of duties, what the amount, if any shall be, to begin no sooner than the 26-27 school year, and their preference(s) regarding a legally viable method for pursuing compensation.
2) Committee Membership
The BOECAC will be comprised of the following members:
● 3 Board members (Fletch, Manna, Spicer)
● 3 PTSA members selected by PTSA Council
● 8 District Stakeholders (random selection of interested individuals)
BOE members shall only serve in an advisory, informational capacity during the committee meetings.
3) Authority
BOECAC will be advisory for the purpose of researching and enlisting opinions of district stakeholders on this matter. District Technology may be utilized to conduct the meetings, for research purposes, and for information sharing before or between BOECAC meetings. Additionally, BOECAC may request information from the District Clerk or the designated Law firm of applicable laws, current District policies, and when available, other relevant Information. Beginning 12/09/25 until completion, BOECAC will utilize the designated Law firm for no more than 2 billable hours.
Any BOECAC recommendation will be presented at a Board meeting, and the Board then has the right to accept, reject, or modify all or any part of BOECAC’s recommendation.
4) Responsibilities
BOECAC will be responsible for:
1. Researching and discussing the legally available options and steps for creating compensation for BOE members and, what the amount shall be, and making recommendations on Board of Education Policy changes, if any, relating to such compensation.
2. Making every effort to adhere to the following timeline:
a. December identify all BOECAC members and have first meeting;
b. January BOE meeting: Chair to provide an update on progress to the Board;
c. February BOE meeting: BOE to take appropriate action based on BOECAC recommendation.
5) BOECAC members will be responsible for:
Completing “homework” including, but not limited to, reading and researching, and compiling and reviewing practices and applicable law(s). Making every effort to attend and contribute to all scheduled BOECAC meetings. Making every effort to achieve consensus in the decision-making process.
6) BOECAC Co-Chairs will be responsible for:
1. Hosting and facilitating meetings while ensuring all members have an opportunity to share their thoughts and ideas.
2. Providing all members with “homework” and relevant information to assist in the decision-making process.
3. Assisting in achieving consensus in the decision-making process.
4. Reporting progress at monthly Board meetings.
5. Endeavoring to have a final written report with recommendations is submitted to the District Clerk on or before February BOE meeting.
7) Meetings
BOECAC will meet as soon as feasible and about once per month or as agreed upon by BOECAC members, using Google Meet starting in December 2025 until BOECAC’s work is complete on or before February 2026 BOE meeting or as soon as the committee has completed its work.

12-10-25 Letter to Community - Update Regarding Expansion of Compensation Committee
Dear Williamsville Central School District Families and Staff,
As previously announced, our Board is forming an advisory committee to offer recommendations on potentially compensating Board members for their service. For further details, please refer to this Board of Education Compensation Committee agenda item.
Due to high interest, we are increasing the number of randomly selected stakeholders from three (3) to eight (8) for this committee and extending the deadline for submitting the Compensation Committee Interest Form to December 17, 2025. We plan to draw names for the committee on December 18, 2025, and notify those selected by December 19, 2025.
